The Walton Options’ Board of Directors is the governing body of the organization which is comprised of members of the community from a variety of backgrounds and abilities. The Board’s responsibilities include overseeing the overall vision and mission of Walton Options – personal independence.

Walton Options Board of Directors Requirements

Job Descriptions

OFFICE: At-large Member
TERM: Two years (Eligible to be elected to three 2-year terms)
REPORTS TO: Chairperson

APPROXIMATE TIME REQUIRED Per Quarter
Board of Directors Meetings (prorated): 8 hours*
Committee Meetings: 3 hours
Preparation/Planning: 2 hours

RESPONSIBILITIES:
1. Participate actively in all Governing Board meetings.
2. Participate actively in at least one committee of the Governing Board.
3. Participate in other organizational activities as requested.
4. Participate in both short-term planning and long range strategic planning of Walton Options.

AUTHORITY:
At-large members have no specific authority unless granted such directly by the Governing Board at a duly called meeting of the Governing Board.  Every Director shall have the absolute right at any reasonable time to inspect the physical properties of the corporation and to inspect all books, records, and documents of the corporation except those protected by law and security clearance that are relative to individuals Personal Identifiable Information.

QUALIFICATIONS:
1. Knowledge and skills needed by this Board.
2. Able to relate well and communicate effectively with people.
3. Willingness to make a conscious effort to understand the philosophy, mission and activities of Walton Options.
4. Be willing to commit resources (financial and in-kind) to achieve goals of Walton Options.

REPORTS TO: Full Governing Board (through the Chairperson)

APPROXIMATE TIME REQUIRED Per Quarter
Board of Directors Meetings (prorated): 8 hours*
Committee Meetings:  3 hours
Meetings with President/E. D.:  3 hours
Preparation/Planning: 2 hours

RESPONSIBILITIES:
1. Member of the Governing Board or Advisors
2. Organize, schedule and preside over his/her appointed committee meetings.
3. Upon consensus, shall report on the committee’s activities at each scheduled Governing Board meeting
4. Shall schedule at least one committee meeting quarterly prior to each scheduled Governing Board meeting.
5. Shall confer with the Chairperson (or designee) at least one month prior to the scheduled Governing Board meeting to present agenda items.
6. Shall ensure that minutes of each committee meeting are kept.

AUTHORITY:
Committee Chairs have no specific authority unless granted such directly by the Governing Board at a duly called meeting of the Governing Board or unless they serve as an Officer where certain authorities apply.

QUALIFICATIONS:
1. Knowledge and skills needed by this Board.
2. Willingness to make a conscious effort to understand the philosophy, mission and activities of Walton Options

Meeting Requirements

Meetings of the Board of Directors shall be held at the business office of the corporation or at such other place as may be selected from time to time by the Board of Directors. The meeting place shall be accessible to all members.

Regular Meetings: The Board of Directors shall set the time and place for the holding of regular meetings. Regular meetings of the full Board of Directors shall be held at least quarterly including its Annual Meeting or more often as the Board may determine. All meetings shall comply with the State of Georgia’s open meetings laws. Robert’s Rules of Order shall govern meetings, insofar as such rules are not inconsistent with or in conflict with the Articles of Incorporation, these Bylaws, or with provisions of law.

Special Meetings: Special meetings of the Board of Directors may be called at any time by the Chairperson of the Board. A special meeting of the Board may also be called by a quorum of the Directors. Notice of the meeting may be made by email addressed to the designated personal or business email addresses of the Directors as reflected in the Corporation records or by written notice deposited in the U. S. mail and addressed to the mailing addresses of the Directors as reflected in the Corporation records. Any such request may specify the time and place of the meeting and shall specify the object. Business transacted at all special meetings shall be confined to the objects stated in the call for the meeting and matters germane thereto, unless all directors entitled to vote are present and consent.

Alternate Meetings: Directors may participate in and hold a meeting and take action without the requirement of a formal face to face meeting and by consent of the Directors by using other modes of communication such as, but not limited to, conference calls, facsimile transmissions, e-mail and U.S. Mail.

Notice: A notice of the time, place and purpose or purposes of any special meeting of the Board of Directors shall be made available by the Secretary to each director at least one week prior. A special meeting is not the same as an emergency called meeting which is called for the conduction of time sensitive corporate business that has been brought forth needing immediate attention to protect the organization. In such case an attempt must be made to include all directors and the standard quorum must be achieved.
